Morgan Group Holding Co. was incorporated in November 2001 to serve as a holding company for Lynch Interactive Corporation's controlling interest in The Morgan Group, Inc., a publicly traded Delaware Corporation.
On January 24, 2002 we were spun off to Lynch Interactive's stockholders. We now hold 161,000 shares of The Morgan Group, Inc.'s outstanding Class A common stock at $9.00 per share, 2,200,00 shares of The Morgan Group Inc.'s Class B common stock at $9.00 per share, giving us control of more than 80% of The Morgan Groups Inc.'s aggregate voting power.
In addition, prior to the spin-off, Lynch Interactive Corporation made a capital contribution to us of $500,000 and assigned to us a services agreement with the Morgan Group, Inc., pursuant to which The Morgan Group, Inc. has agreed to pay $100,000 per year for certain management services.
